Filip Leśniak is an advocate admitted to practice in Poland, a partner in the corporate department of Rymarz Zdort Maruta and the co-head of the Equity Capital Markets practice.
Experience and education:
Filip is a specialist in commercial company law, M&A transactions, and capital markets regulations. He has advised leading players in national and foreign markets on a number of significant M&A and joint venture transactions involving listed and non-public companies. He also advises on public offerings and accelerated book building processes, including transactions in the financial institutions sector, as well as public tender offers. He has been involved in nearly 30 processes requiring the preparation of company prospectuses or equivalent disclosure documents, most of them being IPO projects as well as several secondary public offering processes, including accelerated bookbuilding process (ABB).
Among the clients he regularly serves are international and domestic investors, as well as public and private companies from various economic sectors, including regulated institutions.
He uses his expertise to support issuers, selling shareholders and investment banks in relation to each and every aspect of public offerings and private placements of securities conducted on the domestic and international capital markets.
His experience also includes advising on issues related to the disclosure obligations of public companies listed on the Warsaw Stock Exchange, as well as market abuse prevention regulations.
He graduated from the Faculty of Law and Administration of the University of Warsaw in 2011 and also completed a course in US law at the Center for American Law Studies co-organised by the University of Warsaw and the University of Florida Levin College of Law. Filip qualified as an advocate in 2015.
